Terms and Conditions of ZitisiS

These Terms and Conditions ("Terms") govern access to and use of the ZitisiS platform, website, software, databases, and related services (collectively, the "Platform") operated by Angelcom Limited Partnership ("ZitisiS", "Company", "we", "us", "our"). By registering an account or using the Platform, you agree to these Terms.

The Platform is intended exclusively for business users acting in the course of trade or profession.

1. Definitions

• Buyer: A business user posting sourcing requests, purchase demands, RFQs, or inquiries.

• Supplier / Seller: A business user seeking to respond to Buyer demands and submit offers.

• User: Any registered Buyer, Supplier, or authorized representative.

• Demand: A request, RFQ, sourcing need, or purchase inquiry posted by a Buyer.

• Unlock Fee: A fixed fee paid by a Supplier to access Buyer identity and detailed Demand information.

• Subscription: Any recurring paid plan offered to Suppliers or other Users.

2. Nature of the Platform

2.1 ZitisiS is a B2B marketplace technology platform that connects Buyers and Suppliers.

2.2 Buyers may publish Demands free of charge or under paid plans offered by ZitisiS.

2.3 Suppliers may review available Demands and may pay an Unlock Fee to reveal Buyer details and participate in the opportunity.

2.4 ZitisiS is not a manufacturer, reseller, distributor, logistics provider, or payment intermediary unless expressly stated in a separate written agreement.

2.5 Unless expressly agreed otherwise, ZitisiS is not a party to contracts concluded between Buyers and Suppliers.

3. Registration and Accounts

3.1 Users must provide accurate and complete registration information.

3.2 Users are responsible for all activity conducted through their accounts.

3.3 Accounts may not be transferred, sold, rented, or shared without written consent.

3.4 We may verify business identity, VAT data, licenses, ownership, or contact details.

4. Buyer Demands

4.1 Buyers may publish Demands including product descriptions, quantities, target pricing, specifications, packaging, delivery requirements, deadlines, and related files.

4.2 Buyers are solely responsible for the legality, accuracy, completeness, and genuineness of posted Demands.

4.3 ZitisiS does not guarantee that any Demand will receive responses.

4.4 We reserve the right to remove suspicious, duplicate, unlawful, misleading, inactive, or low-quality Demands.

5. Supplier Unlocks and Offers

5.1 Suppliers may access general summaries of Demands.

5.2 To reveal Buyer identity, contact information, and/or full Demand details, the Supplier may be required to pay an Unlock Fee.

5.3 Payment of an Unlock Fee grants limited access to that specific Demand only.

5.4 Unless expressly stated otherwise, Unlock Fees are non-refundable once access is granted.

5.5 Payment of an Unlock Fee does not guarantee:

• a sale;

• a contract award;

• Buyer response;

• Buyer solvency;

• exclusivity;

• accuracy of projected volumes;

• future repeat business.

5.6 After unlocking, Suppliers may submit offers subject to Platform rules.

5.7 Suppliers are solely responsible for pricing, legality, delivery capability, certifications, taxes, warranties, and representations in their offers.

6. Subscriptions and Paid Services

6.1 ZitisiS may offer recurring subscriptions, credits, lead packages, visibility products, or premium tools.

6.2 Pricing, billing periods, features, taxes, and limits will be shown at purchase.

6.3 Subscriptions renew automatically unless cancelled by the User before the next billing cycle, unless otherwise stated during checkout.

6.4 Suppliers may cancel their subscription at any time. Cancellation stops future renewals. Access to paid features continues until the end of the already-paid billing period unless stated otherwise.

6.5 No partial refunds are owed for unused periods unless required by law or expressly promised in writing.

6.6 We may suspend paid services for failed payments, abuse, fraud, or breach of these Terms.

7. Fees and Payments

7.1 All fees are stated exclusive of VAT or other applicable taxes unless expressly stated otherwise.

7.2 Users are responsible for applicable taxes, bank fees, chargeback fees, and currency conversion charges.

7.3 Fraudulent chargebacks or payment reversals may result in immediate suspension.

8. Platform Conduct Rules

Users shall not:

• submit false or misleading Demands or offers;

• impersonate another business;

• spam or harass Users;

• misuse unlocked contact data;

• scrape, copy, or harvest Platform data;

• interfere with Platform systems;

• upload malware;

• violate sanctions, export, competition, or anti-corruption laws.

9. Data and Confidentiality

9.1 Users remain responsible for data they upload.

9.2 Commercial information obtained through the Platform may be confidential and must not be misused.

9.3 Personal data is handled according to the Privacy Policy and applicable law including GDPR where applicable.

10. Intellectual Property

10.1 ZitisiS owns all rights in the Platform, software, branding, layout, databases, and non-user generated materials.

10.2 Users receive a limited, revocable, non-exclusive right to use the Platform during their access period.

10.3 Users grant ZitisiS a non-exclusive license to host and process submitted content for operation of the Platform.

11. Availability

11.1 We aim to keep the Platform available but do not guarantee uninterrupted service.

11.2 We may modify, suspend, maintain, or discontinue features at any time.

12. Disclaimers

12.1 The Platform is provided "as is" and "as available".

12.2 ZitisiS does not guarantee lead quality, conversion rates, buyer intent, supplier performance, transaction success, or commercial outcomes.

12.3 Users must conduct their own due diligence before entering transactions.

13. Limitation of Liability

13.1 To the maximum extent permitted by law, ZitisiS shall not be liable for indirect, consequential, lost profit, lost opportunity, or reputational damages.

13.2 Total liability shall not exceed the amount paid by the claiming User to ZitisiS in the previous twelve (12) months or EUR 500, whichever is greater.

13.3 Nothing excludes liability that cannot legally be excluded.

14. Termination and Cancellation

14.1 Users may close their accounts at any time by contacting support or using available account tools.

14.2 Suppliers may cancel subscriptions at any time. Cancellation prevents future renewals but does not automatically refund prior payments.

14.3 ZitisiS may suspend or terminate accounts immediately for fraud, abuse, unlawful activity, non-payment, fake accounts, repeated complaints, or breach of these Terms.

14.4 Upon termination, accrued rights, payment obligations, and clauses intended to survive termination remain effective.

15. Changes to Terms

We may update these Terms from time to time. Updated Terms become effective when posted or on the specified effective date.

16. Governing Law and Jurisdiction

These Terms are governed by the laws of Greece. Courts of competent jurisdiction in Greece shall have jurisdiction unless mandatory law requires otherwise.
